1. Scope and current status1. 适用范围与当前状态
This agreement describes the planned commercial licence for PrivacyCut and PrivatyVault, published by M&C Nebulae Australia Pty Ltd. Contact: info@mcnebulae.com.au. 2. Licence grant and three-computer allowance2. 许可授予及三台电脑规则
Following valid purchase and delivery, we grant the named user a non-exclusive licence, to the extent we are entitled to grant it, for lawful personal or work use. That user may install and use entitled versions on up to three computers. A named-user licence is not a shared or floating seat for multiple people.完成有效购买并交付后，我们在自身有权许可的范围内授予指定用户非独占的软件使用许可，可用于该用户合法的个人或工作用途。同一用户最多在 3 台电脑上安装并使用其已获授权版本；不得把一个指定用户许可作为多人共享或浮动席位。
Computer replacement is permitted: stop using and remove the runnable licensed copy from the old computer, then continue on a replacement while keeping within three computers. Contact us to verify an order if a computer is lost or broken. We will not require a vault password, recovery key or private content for replacement verification. 3. Licence activation and computer management3. 许可证激活与设备管理
Paid commercial releases use licence activation to administer entitlement. A licence is for the named user on up to three computers; old computers may be deactivated and replaced. Lost or broken computers may be reset after necessary order verification, without vault passwords, recovery keys or media.正式发行的付费版本使用许可证激活机制管理授权。许可证仅供指定用户在最多 3 台电脑上使用；允许停用旧电脑并换机。设备丢失或损坏时可凭必要订单证明申请重置，不要求提供保险库密码、恢复密钥或素材。
An independent module validates licensing at startup without receiving content-process handles. It sends only the licence code, product, opaque device ID, request nonce and necessary generic computer label; the order system separately links the user to the licence ledger. The device ID is a one-way digest of a Windows installation identifier; the raw identifier is not sent. Vaults, projects, file names, paths, thumbnails, media, vault passwords and recovery keys are not accessed or uploaded.授权模块在启动时独立校验，不接收素材进程句柄。仅发送授权码、产品、不透明设备编号、随机请求编号及必要的通用电脑标签；订单系统与授权台账另行关联用户。设备编号由 Windows 安装标识单向摘要产生，不发送原始安装标识。不访问或上传库、工程、文件名、路径、缩略图、素材、库密码或恢复密钥。
An ordinary licence allows at most seven days offline after successful validation; it is not a permanently offline licence. Refund/deactivation denies the corresponding paid entitlement on the next successful check, or no later than existing lease expiry when continuously offline. Replacement releases a slot, although an old offline lease can remain temporarily valid. Invalid signatures, wrong device/product and detected clock rollback are rejected. Revocation does not delete or withhold data. 4. Relationship between the products4. 两产品的授权关系
A PrivatyVault licence covers the standalone vault and its delivered quick-edit features, not PrivacyCut's full timeline editor. A PrivacyCut licence includes editing and full vault functionality; the same user may also use the corresponding standalone PrivatyVault within the same three-computer allowance without a separate purchase. The products share a vault format. An existing PrivatyVault vault can be selected in an entitled PrivacyCut version, subject to the correct password or valid recovery key and complete vault files. Any price or discount for a Vault owner buying Cut must be stated in the relevant order.两产品共用库格式。已有 PrivatyVault 库可在获授权的 PrivacyCut 版本中选择使用，仍需正确密码或有效恢复密钥及完整库文件。先买 Vault 后买 Cut 的升级价格或折扣，以届时明确提供的订单为准。
5. Perpetual use and annual upgrades5. 买断、首年升级及后续年度升级
A one-time purchase grants continuing use of entitled versions, rather than requiring an annual software-use fee. It includes 12 months of upgrades following valid purchase and formal delivery; the order must identify the start and end dates. Feature and maintenance releases published for the purchased product in that period are included, subject to any clearly and lawfully disclosed scope for different products or platforms before purchase.买断是对已获授权版本的持续使用许可，不是每年支付软件使用费。有效购买并完成正式交付后包含 12 个月免费升级权益；正式订单应列明起止日期。此期内已发布并纳入您所购产品的功能升级和维护版本均包含在内，除非订单在购买前明确、合法地列明不同产品或平台的范围。
After the first year, another 12-month upgrade entitlement may be purchased voluntarily. Its price and dates must be disclosed before payment. There is no default automatic charging or back-charging for periods not purchased. Non-renewal does not revoke use of versions lawfully obtained within an entitlement period, vault access or ownership of your data. Legally required security updates, corrections and remedies are not conditional on annual upgrade payment.首年之后可自愿按年购买下一段 12 个月升级权益。价格和起止日期须在付款前明确，不默认自动扣费，不补收您未订购期间的升级费。不续购仍可继续使用升级权益期内已合法取得的版本；不因此收回库访问或要求删除您的资料。依法应提供的安全更新、修复和救济不受年度升级收费限制。
Already purchased features remain usable after the update term expires, including in a newer Microsoft Store package. Security fixes and maintenance of those features do not require another annual purchase. New paid features are available when their published introduction date falls within a valid update entitlement; otherwise an optional annual upgrade is required. No automatic renewal. Ordinary activation, up to seven days offline and applicable refund revocation still apply. 6. Requirements and functionality6. 运行条件和功能范围
The current software requires compatible Windows x64 and directly attached, bound, readable/writable NTFS USB storage. The computer can remain online while content processing is isolated. The software does not automatically format storage or treat NAS, mapped network drives, synchronised folders or arbitrary internal drives as eligible media workspaces.当前需兼容的 Windows x64 电脑，以及直接连接、已绑定并可正常读写的 NTFS 格式 U 盘或 USB 移动硬盘。电脑可正常联网；内容处理进程受软件隔离。软件不自动格式化磁盘，也不将 NAS、网络映射盘、同步目录或任意内部盘视为合格的素材工作区。
A file extension does not guarantee decoding. Preview and export depend on local codec/hardware support and disclosed limits. The current target is 1080p; vault quick editing differs from the full timeline, and plain-text editing is not Word/Excel layout editing. Actual functions, limits and requirements must be available before purchase. 7. Your content and local processing7. 用户内容与本地处理
You retain rights you already hold in media, projects, files, captions and outputs. Use does not transfer those rights to us or grant us permission to train AI on, publish, upload or commercially exploit your content. You must be entitled to import and process selected content.您保留对素材、工程、文件、字幕和导出结果原已拥有的权利。使用软件不向我们转移这些权利，也不授予我们训练 AI、公开展示、上传或商业利用您内容的许可。您应有权导入和处理所选内容。
Importing an outside file creates an encrypted copy in the current vault. Outside originals stay in place; their files and attributes are not automatically moved, deleted or modified. Projects save encrypted in the current vault by default. Export can produce encrypted vault output or an expressly selected plaintext copy outside the vault on bound USB storage. 8. Passwords, recovery keys and backups8. 密码、恢复密钥与备份
Keep your password, offline recovery key and an independent complete vault backup safe. We do not retain a master password or recovery key with which to unlock your vault, and do not guarantee password retrieval or media recovery. A recovery key cannot recreate deleted, overwritten, corrupted or missing encrypted content.请保管密码、离线恢复密钥和完整的独立库备份。我们不持有一份可代您解锁的主密码或恢复密钥，不提供保证成功的密码找回或媒体恢复。恢复密钥不能重建已删除、覆盖、损坏或遗失的加密素材。
Backing up, exiting normally and safely ejecting storage are important operating steps. A user's acknowledgement of a backup reminder is not proof that the software validated a backup. These responsibilities do not exclude liability arising from a failure to meet applicable statutory guarantees.备份、正常退出和安全弹出是重要使用步骤；备份提醒中的用户确认不是软件已核验备份有效的证明。这些使用要求不排除由软件未达到适用法定保障而产生的责任。
9. Software and third-party rights9. 软件及第三方权利
We and the relevant rights holders retain the software, documentation, trade mark and design rights that each owns or is entitled to license. This is not a claim that all code was independently authored by us. PrivacyCut uses OpenCut Classic and other third-party components; consult the accompanying inventory and original notices.我们及相应权利人保留其拥有或有权许可的软件、文档、商标和设计权利。该表述不声称全部代码由我们独立原创。PrivacyCut 使用 OpenCut Classic 及其他第三方组件；第三方许可及权利人声明见随附清单和原文。
This agreement does not reduce rights to use, copy, modify, debug or redistribute granted directly by third-party licences. MPL, LGPL, font and other components have their own terms. 10. Reasonable restrictions and preserved exceptions10. 合理使用限制和保留例外
Except as permitted by this agreement, another permission, applicable law or a third-party licence, do not resell a named-user licence, publicly distribute our proprietary portions, impersonate the publisher or remove required rights notices. Do not unlawfully access another person's vault.除本协议、单独许可、适用法律或第三方许可允许外，不得转售指定用户许可、向公众提供我们的专有部分、伪造发行者身份或移除必须保留的权利人声明。不得非法侵入他人保险库。
Any restriction on decompilation, modification or reverse engineering is subject to law and third-party licences. It does not prohibit legally permitted interoperability, correction or security research, or LGPL-permitted debugging of modifications and component replacement. Modified builds do not automatically carry official signing, test conclusions or support; this does not cancel lawful modification rights.任何反编译、修改或逆向限制均受适用法律及第三方许可证约束，不禁止依法允许的互操作、纠错、安全研究，或 LGPL 允许的修改调试和组件替换。修改后的构建不自动享有官方版本的签名、测试结论或支持；这不取消您依法取得的修改权利。
11. Updates and changes to terms11. 更新与条款变更
There is currently no background automatic updater or remote content upload. Future licence checks, update channels or data handling must be accurately disclosed before implementation, without hidden changes to purchased core rights or content protection. Follow supplied safety instructions when verifying and installing applicable updates.当前没有后台自动更新或远程内容上传。将来新增许可验证、更新渠道或数据处理机制时，应在实施前如实说明，不通过隐蔽更新改变已购买的核心许可或内容保护边界。用户应按提供的安全说明验证并安装适用更新。
Posting a new webpage alone cannot retrospectively reduce purchased continuing-use or upgrade rights. Material changes affecting existing rights require a lawful basis, adequate notice and any required consent or remedy. Refusing an unrelated new feature does not automatically remove an existing licence.我们不得仅靠发布新网页，追溯缩减已购买的永久使用或升级权益。实质影响既有权利的变更须有合法依据、充分通知及适用的同意或救济；不因您拒绝无关新功能而自动剥夺既有许可。
12. Material breach and termination12. 重大违约与终止
To the extent permitted by law, material breach may result in termination. Unless immediate action is lawfully necessary, reasons should be given and a reasonable opportunity allowed to cure a remediable breach. Upgrade expiry, not purchasing further upgrades, ordinary computer replacement or making a quality complaint is not itself grounds to terminate purchased-version rights.在法律允许的范围内，重大违约可导致许可终止。除依法必须立即处理的情形外，应告知理由，并对可补救的违约给予合理补救机会。升级期到期、未另购升级、正常换机或提出质量投诉，本身不是终止已购买版本许可的理由。
Termination does not transfer your content, require destruction of vaults/media or authorise remote wiping by us. An obligation to stop using the application after termination does not remove lawful or expressly permitted limited use for retrieving your data, or independent third-party licence rights.终止不转移用户内容权利，不要求销毁用户保险库或素材，也不授权我们远程擦除数据。终止后的停止使用义务不排除依法享有或我们允许的有限数据取回使用，以及第三方独立许可权。
After a full refund under the purchase policy, the commercial licence or upgrade entitlement supplied by that order terminates and is revoked in the activation system. An upgrade-only refund preserves the previously purchased base licence and its existing versions. Refunding a PrivacyCut base licence also cancels the Vault entitlement included with that purchase, without cancelling a separately purchased, unrefunded PrivatyVault licence. Lawful or expressly permitted data retrieval and third-party rights remain preserved.依购买政策完成全额退款后，终止对应订单提供的商业许可或升级权益，并在激活系统撤销相应授权。仅退年度升级时，先前已购的基础许可及原有版本使用权继续有效；退 PrivacyCut 基础许可同时取消由该笔购买附带的 Vault 权益，不取消另行购买且未退款的 PrivatyVault 许可。保留依法或明确允许的数据取回和第三方权利。
13. Consumer guarantees and liability13. 消费者保障与责任
This agreement does not exclude, restrict or modify consumer guarantees, refunds, repair, replacement, compensation or other rights that applicable law does not permit us to exclude. Where the Australian Consumer Law applies, its non-excludable guarantees and remedies remain available, including compensation for reasonably foreseeable loss where the legal conditions are met.本协议不排除、限制或修改适用法律不允许排除的消费者保障、退款、修复、替换、损失赔偿或其他权利。澳大利亚消费者法适用时，该法下不可排除的保障及补救继续适用，包括符合法律条件的合理可预见损失赔偿。
We do not promise compatibility with every format, all future operating systems, compromised computers or arbitrary third-party software. Liability is determined under applicable law, including breach, causation and foreseeability. This draft imposes no universal AUD100 or purchase-price cap and no blanket exclusion for all data loss or privacy breaches. This agreement uses common terms with regional supplements below. Applicable supplements and non-excludable law prevail over conflicting common wording. A checkout-country selection cannot remove rights that actually apply. The relevant Australian state and final dispute provisions will be completed before sale; an Australian-law clause does not displace mandatory local consumer protection.本协议采用通用条款及后附地区补充。适用的地区补充和不可排除法律权利优先于冲突的通用条款；购买者选择的结账国家不能剥夺其实际享有的强制权利。澳洲适用州及最终争议条款在正式销售前完成，不以“只适用澳洲法”排除当地消费者保护。
The 30-day no-reason full commercial refund applies in every enabled sales territory, alongside statutory withdrawal and defect remedies. EU/EEA and UK immediate digital delivery requires separate applicable prior consent, withdrawal acknowledgement and retainable confirmation. Where Australian Consumer Law applies, these terms, the 30-day refund period, paid annual upgrades and licence withdrawal do not exclude non-excludable guarantees or remedies. Repair, replacement, refunds and compensation for reasonably foreseeable loss depend on law and facts; day 30 is not an automatic end to those rights.如澳洲消费者法适用，本协议、30 天退款期、年度升级收费及许可撤销均不排除不可排除的消费者保障和救济。应提供的维修、更换、退款及合理可预见损失补偿依法律及实际情况确定；超过 30 天并不自动终止这些权利。
If a defect remedy legally results in a refund or termination, licence consequences and retrieval follow applicable law. Activation restrictions must not evade required remedies. Applicable distance digital-content purchases generally carry a 14-day statutory withdrawal period. Immediate download within that period requires separate express prior consent, acknowledgement of the relevant loss of withdrawal rights and retainable contract confirmation. General acceptance or a download alone must not be treated as ending withdrawal when required steps were not completed.适用的远程数字内容交易通常有 14 天法定撤回期。若在此期间立即交付下载，须事先另行取得明确同意、确认相应撤回权变化，并发送可保存的合同确认。适用步骤未完成时，不以一般勾选或已经下载为由单方面认定撤回权丧失。

Where UK distance digital-content rules apply, observe the 14-day withdrawal period and separate prior consent, withdrawal acknowledgement and retainable confirmation for immediate downloads. Our 30-day no-reason commercial refund remains available even after valid immediate-download consent.适用英国远程数字内容规则时，14 天撤回期及即时下载所需的事先同意、撤回权确认和可保存确认分别执行。即使合法取得即时下载同意，30 天无理由商业退款仍保留。
Digital content must satisfy applicable quality, fitness and description requirements, with remedies determined by law. Downloading or passing the commercial refund period is not a blanket ground to refuse them. Mandatory consumer, privacy, dispute-resolution and language rights remain available in other enabled territories. Provide necessary supplements before purchase; this common draft does not establish coverage of every country. Assess US state, Canadian/Quebec and other specific requirements against actual sales scope rather than copying another seller’s arbitration, forum or language provisions.其他已开放地区适用的强制消费者、隐私、争议解决和语言权利继续保留。必要地区补充将在购买前提供；未经核对不能仅依本通用稿宣称已覆盖所有国家。美国州法、加拿大及魁北克等具体安排仍需按实际销售范围核定，不直接照搬其他商家的仲裁、法院或语言条款。
Platform terms apply only within that provider’s actual seller/payment role and do not reduce our product entitlements, 30-day commercial refund or privacy promises. Non-excludable law takes priority, followed by applicable regional supplements, express order entitlements and these common terms.交易平台条款仅按其实际承担的卖方／支付职责适用，不缩减本公司已承诺的产品授权、30 天商业退款或隐私保护义务。当地不可排除法律优先，其次适用地区补充、订单明确授予的权益及本通用协议。
